Job Title: Corporate Paralegal Reports To: Chief Financial Officer (CFO)
Location: Remote
Position Summary The Corporate Paralegal will play a critical role in supporting the Company's legal, governance, and commercial operations within a large, international manufacturing environment. Reporting directly to the Chief Financial Officer, this position is responsible for creating, maintaining, and administering a comprehensive document management system; serving as the primary liaison with external legal counsel; drafting and redlining a wide range of corporate and commercial documents; and performing all other core paralegal functions required to support a complex, multi‑jurisdictional organization.
This role requires a high degree of professionalism, discretion, organizational skill, and the ability to collaborate cross‑functionally with Finance, Operations, Supply Chain, Human Resources, and executive leadership.
Key Responsibilities Corporate Governance & Regulatory Support - Maintain corporate records, including entity formation documents, bylaws, board and committee materials.
- Support compliance with applicable corporate governance, regulatory, and statutory requirements across multiple jurisdictions.
- Assist with annual filings, registrations, and other compliance obligations in coordination with external counsel.
Document Management & Contract Administration - Design, implement, and maintain a centralized legal document management system, ensuring accuracy, version control, accessibility, and confidentiality.
- Organize, track, and archive executed agreements, amendments, and related correspondence.
- Manage signature processes, including electronic signature platforms, and maintain fully executed document records.
Contract Drafting & Review - Draft, review, and redline a broad range of agreements, including NDAs, supplier agreements, customer contracts, logistics agreements, service agreements, licensing agreements, and other commercial documents.
- Assist in standardizing contract templates and clause libraries to improve efficiency and risk management.
- Coordinate contract review cycles and support internal stakeholders through the contract approval process.
External Counsel Coordination - Serve as the primary point of contact and liaison with external attorneys and law firms globally.
- Coordinate the flow of information, documents, and responses between internal teams and outside counsel.
- Monitor legal spend, track invoices, and assist with budgeting and cost controls related to external legal services.
Transactional & Project Support - Support mergers, acquisitions, divestitures, joint ventures, financings, and other strategic transactions, including due diligence and document preparation.
- Assist with intellectual property matters, litigation support, employment‑related matters, and insurance claims as needed.
- Provide legal and administrative support for special projects assigned by the CFO or executive leadership.
General Paralegal & Administrative Duties - Conduct legal research and factual investigations as requested.
- Prepare memoranda, summaries, and reports for management.
- Maintain confidentiality and handle sensitive information with the utmost discretion.
- Perform other duties typical of a corporate paralegal supporting a large, complex organization.
Qualifications Required - Paralegal certificate from an accredited program or equivalent combination of education and experience.
- 5+ years of experience as a corporate paralegal, preferably in a large, multinational company or comparable law firm environment.
- Demonstrated experience drafting and redlining commercial contracts.
- Strong knowledge of corporate governance practices and document management systems.
- Exceptional organizational, communication, and time‑management skills.
- High level of attention to detail and ability to manage multiple priorities independently.
- Proficiency with Microsoft Office and contract/document management software.
Preferred - Experience supporting an international manufacturing, industrial, or supply‑chain‑driven organization.
- Familiarity with international subsidiaries, cross‑border transactions, and multi‑jurisdictional compliance.
- Exposure to finance‑related legal matters and comfort working closely with senior executives.
